These Terms of Service (“Terms”) govern your access to and use of Ideali (“Ideali,” “we,” “us,” or “our”), including our website, donation software platform, and related services (collectively, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use Ideali.

  1. The Services

Ideali provides a software platform that enables organizations, creators, and individuals to collect and manage donations. Ideali is a technology provider only and does not act as a charity, fundraiser, financial institution, or payment processor.

  1. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms to use the Services. By using Ideali, you represent and warrant that you meet these requirements.

  1. Accounts

3.1 Account Registration

To access certain features, you must create an account and provide accurate, complete, and current information.

3.2 Account Responsibility

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activity that occurs under your account
  • Promptly notifying us of unauthorized access or security breaches

Ideali is not liable for losses caused by unauthorized account use.

  1. Donations and Payments

4.1 Payment Processing

All donations are processed through third-party payment processors (such as Stripe or PayPal). Ideali does not store full payment card details and is not responsible for payment processor errors or outages.

4.2 Donation Responsibility

Donors are responsible for ensuring that:

  • Donation amounts are correct
  • Donations are made intentionally
  • Recipient information is accurate

Unless required by law, donations are non-refundable.

4.3 No Tax Advice

Ideali does not provide tax, legal, or financial advice. Donors are solely responsible for determining whether a donation is tax-deductible.

  1. User Conduct

You agree not to use Ideali to:

  • Violate any law, regulation, or third-party rights
  • Engage in fraud, deception, or misleading fundraising
  • Collect donations for illegal, harmful, or abusive activities
  • Transmit malware, spam, or malicious code
  • Interfere with or disrupt the Services

We reserve the right to suspend or terminate accounts that violate these Terms.

  1. Content

6.1 User Content

You retain ownership of content you submit (such as campaign descriptions or messages). By using the Services, you grant Ideali a non-exclusive, worldwide, royalty-free license to host, display, and use such content solely to operate and improve the Services.

6.2 Responsibility for Content

You are solely responsible for your content and represent that it does not violate any law or third-party rights.

  1. Fees

Ideali may charge platform fees, which will be disclosed prior to use. Fees are non-refundable unless otherwise stated in writing.

We reserve the right to change fees with reasonable notice.

  1. Intellectual Property

The Services, including software, branding, logos, and design, are owned by Ideali or its licensors and are protected by intellectual property laws.

You may not copy, modify, distribute, or reverse engineer any part of the Services without our written consent.

  1. Suspension and Termination

We may suspend or terminate your access to the Services at any time, with or without notice, if:

  • You violate these Terms
  • We are required to do so by law
  • Continued access poses a security or legal risk

You may stop using the Services at any time.

  1. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
IDEALI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee uninterrupted, error-free, or secure operation of the Services.

  1. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IDEALI SHALL NOT BE LIABLE FOR:

  • INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, DATA, OR GOODWILL
  • DISPUTES BETWEEN DONORS AND RECIPIENTS

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID IDEALI IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.

  1. Indemnification

You agree to indemnify and hold harmless Ideali and its officers, directors, employees, and affiliates from any claims, damages, liabilities, or expenses arising from:

  • Your use of the Services
  • Your content or fundraising activities
  • Your violation of these Terms or applicable laws
  1. Governing Law

These Terms are governed by the laws of Ontario, Canada, without regard to conflict-of-laws principles.

  1. Changes to These Terms

We may update these Terms from time to time. Updated Terms will be posted with a revised “Last updated” date. Continued use of the Services constitutes acceptance of the updated Terms.
